Exclusive Beat Agreement :

Collectively, the Beatmaker and Artiste shall be referred to as the “Parties.”

WHEREAS, the Producer is specialized in the publishing, distribution and marketing of music recordings and representation of musical artistes;

WHEREAS, the Beatmaker gives the Artiste the exclusive right to use the beat in unlimited recordings and without distribution limits.

Whereas, both the parties wish to evidence their contract in writing and both Parties have the capacity to enter into and perform this contract;

NOW THEREFORE in consideration and as a condition of the Parties entering into this Agreement and other valuable considerations, the receipt and sufficiency of which consideration is acknowledged, the Parties agree as follows:                                                 

 

1. SCOPE OF SERVICES: Services shall include making, mixing and mastering of instrumental beat[s], signature [crow caw] shall remain. Any additional services requested by the client will be subject to additional fees and must be agreed upon in writing by both parties.

2. COMPENSATION: As full compensation for the services rendered by the Beatmaker under this Agreement, the Artiste agrees to pay the Beatmaker 30% of all monies received by, and otherwise payable to, Artiste arising from any and all use and exploitation of the instrumental beat[s]

3. PAYMENT METHOD: Payment shall be made in GHC or USD via direct bank transfer or cash on delivery.

4. DELIVERY: Following receipt of the License Fee, Licensor shall deliver the Beat to Licensee in the form of a WinRAR ZIP Archive containing the mp3 file via email address.

5. RIGHTS AND OWNERSHIP: All rights and interests in the instrumental beat[s], including copyright and the right to secure copyright, shall belong exclusively to Artiste and agrees to not sell the instrumental beat to any other artiste or third party.

6. CREDIT: The Artiste shall provide proper credit to the Beatmaker for the song or Master Recording created by the Artiste by using the instrumental beat. The Artiste must give production credit to the Beatmaker any and all distributed material. This can be done verbally [through recorded vocals on the Master Recording] or written in or on the recording booklet or cover.

7. CONFIDENTIALITY: Each party agrees to retain in confidence all confidential information disclosed by the other party during the course of the Agreement and to use such confidential information solely for the purposes of fulfilling its obligation under this Agreement.

8. INDEMNIFICATION: Each party agrees to indemnify and hold harmless the other party from any damages, liabilities, costs, losses or expenses arising out of any claim, demand, or action by a third party due to a breach of the party’s duties, obligations, representations or warranties under this Agreement.

9. GOVERNING LAW: This Agreement shall be governed by, and construed in accordance with the laws of the state of Ghana, without regard to its conflict of law principles.

10. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between Beatmaker and Artiste with respect to the subject and matter hereof and supersedes all prior negotiations, understandings, and agreements between the parties.
