License agreement

Master Use

The Licensor hereby grants to Licensee an exclusive license (this “License”) to record vocal synchronization to the
Composition partly or in its entirety and substantially in its original form (“Master Recording”).

Distribution Rights

The Licensor hereby grants to Licensee an exclusive license to use the Master Recording in the reproduction,
duplication, manufacture, and distribution of phonograph records, cassette tapes, compact disk, digital downloads, other
miscellaneous audio and digital recordings, and any lifts and versions thereof (collectively, the “Recordings”, and
individually, a “Recording”) worldwide for the pressing or selling unlimited copies of such Recordings or any combination
of such Recordings.

Streaming Rights

Additionally, licensee shall be permitted to distribute unlimited non-profit and non-commercial internet downloads or
streams, along with for-profit monetized audio streams to sites like Spotify or Apple Music.

Synchronization Rights

The Licensor hereby grants unlimited synchronization rights for music videos streamed online (YouTube, Vimeo, etc..) for
unlimited streams on all websites.
Unlimited synchronization rights are also granted for distribution to Television, Film or Video game.

Performance Rights

The Licensor here by grants to Licensee an exclusive license to use the Master Recording in unlimited non-profit and
for-profit performances, shows, or concerts.
Licensee shall receive compensation from performances with this license.

Broadcast Rights

The Licensor hereby grants to Licensee broadcasting rights for an unlimited number of radio stations.

Credit

Licensee shall acknowledge the original authorship of the Composition appropriately and reasonably in all media and
performance formats under the name “Drick D” in writing where possible and vocally otherwise.


Consideration

In consideration for the rights granted under this agreement, Licensee shall pay to licensor the sum of 500.00 US dollars
and other good and valuable consideration, payable to Derrick Djaba Williams, receipt of which is hereby acknowledged.
If the Licensee fails to account to the Licensor, timely complete the payments provided for hereunder, or perform its other
obligations hereunder, including having insufficient bank balance, the licensor shall have the right to terminate License
upon written notice to the Licensee.
Such termination shall render the recording, manufacture and/or distribution of Recordings for which monies have not
been paid subject to and actionable infringements under applicable law, including, without limitation, Ghana
Copyright Act, as amended.

Master Royalties

The Licensee shall receive 100% of all master recording royalties generated from the commercial exploitation of the Master Recording, including but not limited to:

Streaming revenue (Spotify, Apple Music, etc.)
Digital downloads
Content ID monetization
Distributor payouts

The Licensor does not receive any share of master royalties unless otherwise negotiated in writing.

Producer Points

The Licensor shall receive 3% producer points on the Master Recording, payable from the Licensee’s share of master royalties.

Expert Note: In 2026, “Points” are the most overlooked part of indie contracts. If your song goes viral on TikTok, that 3% ensures the producer is compensated fairly without taking a massive chunk of your upfront streaming revenue.
Performance Royalties
Performance royalties generated from public performances of the composition (radio, live shows, streaming, television, etc.) shall be paid directly by the respective PROs to each party according to their publishing share:
50% Licensor
50% Licensee

Delivery

The Composition shall be delivered as high quality mp3 + wav + stems files, as such terms are understood in the music
industry, via email to an email address that Licensee provided to Licensor.
Licensee shall receive an email from containing an attachment or link from which they can download the Composition.


Audio Samples

Samples used are royalty-free.

Restrictions

This License is non-transferable and is limited to the Composition specified, constitutes the entire agreement between
the Licensor and the Licensee relating to the Composition, and shall be binding upon both Licensor and Licensee and
their respective successors, assigns, and legal representatives.


Notice of outstanding clients

The Licensee hereby understands that the underlying Composition produced/created by Licensor that make up part of
the whole of the Master Recording may have been non-exclusively licensed by other third-parties.
Also, that those licenses will remain valid for the remainder of their licensing terms, even after the induction of this
agreement.
Licensor agrees to completely refrain from licensing this Composition/Master Recording, whether non-exclusively or
exclusively, to any other third-party upon the execution of this agreement, along with compensation paid to Licensor by
Licensee outlined in this agreement.
Licensee indemnifies and holds Licensor harmless for any damaging circumstances caused by the exploitation of the
Composition by any prior third-party non-exclusive Licensee of the Composition.

Writer’s Share and Publishing Rights

With respect to the publishing rights and ownership of the underlying Composition embodied in the Master Recording,
the Licensee and the Licensor hereby acknowledge and agree that it shall be owned/split between them as follows:
Licensor shall own and control 50% of the so-called “Writer’s Share” of the underlying Composition.
Licensor shall own and control 50% of the so-called “Publisher’s Share” of the underlying Composition embodied in the
Master Recording.
Licensor shall own and control 3% of the so-called “Master royalties” of the Master Recording. It shall be calculated over
the net profit of the Master Recording, after deduction of all costs and expenses incurred by the Licensee in connection
with the exploitation of the Master Recording.

Governing Law

This License is governed by and shall be construed under the law of Ghana, without regard to the conflicts of laws
principles thereof.
